CompliTech Pty Ltd – Terms and Conditions
Effective Date: 20 November 2025
These Terms of Service (“Terms”) govern your access to and use of the websites, software platforms, applications, tools, and related services provided by CompliTech Pty Ltd (“CompliTech”, “we”, “us”, or “our”) (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms.
- Definitions
Services means all software, platforms, applications, AI systems, websites, dashboards, reporting tools, and related services provided by CompliTech.
Client Data means documents, files, text, data, and information uploaded, submitted, or transmitted by you through the Services.
User means any individual or entity accessing the Services.
Subscription means a paid or trial access arrangement granting use of the Services.
- Acceptance of Terms
By registering for, accessing, or using the Services, you confirm that:
- You have authority to act on behalf of your organisation (if applicable);
- You agree to comply with these Terms;
- You are at least 18 years of age.
If you do not agree, you must not use the Services.
- Licence to Use the Services
3.1 CompliTech grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services during your active Subscription.
3.2 The Services are provided for internal business purposes only unless otherwise agreed in writing.
3.3 You must not:
- Reverse engineer, decompile, or copy the Services;
- Resell, sublicense, or distribute access;
- Interfere with system security or integrity;
- Use the Services for unlawful purposes.
- User Accounts
4.1 You are responsible for maintaining the confidentiality of login credentials.
4.2 You are responsible for all activity under your account.
4.3 You must notify us immediately of any unauthorised access.
- Subscriptions and Payment
5.1 Access to certain Services may require payment of subscription fees or credit purchases.
5.2 Fees are payable in advance unless otherwise agreed.
5.3 Credits or usage entitlements may expire according to your plan.
5.4 All fees are exclusive of GST unless stated otherwise.
5.5 Failure to pay may result in suspension or termination.
- Trial Access
6.1 Trial access may be offered at our discretion.
6.2 Trial accounts may have limited features or usage caps.
6.3 We may terminate trial access at any time.
- Client Data
7.1 You retain ownership of your Client Data.
7.2 You grant CompliTech a limited licence to host, process, analyse, transmit, and store Client Data solely to provide and improve the Services.
7.3 You are responsible for ensuring you have legal rights to upload Client Data.
7.4 We are not responsible for the content of Client Data.
- AI-Generated Outputs
8.1 The Services may use artificial intelligence or automated systems to generate outputs.
8.2 Outputs are assistive tools only and do not constitute legal, engineering, financial, or regulatory advice.
8.3 You are responsible for reviewing and verifying outputs before reliance.
8.4 CompliTech is not liable for decisions made based on AI-generated outputs.
- Confidentiality
9.1 Each party must keep confidential information secure and not disclose it except as required to perform obligations under these Terms.
9.2 Confidentiality obligations survive termination.
- Data Protection and Privacy
10.1 Personal data is processed in accordance with our Privacy Policy.
10.2 Client Data may be processed using secure third-party providers where necessary to deliver the Services.
10.3 We implement reasonable technical and organisational safeguards.
- Service Availability
11.1 We aim to maintain high availability but do not guarantee uninterrupted access.
11.2 Maintenance, upgrades, or third-party outages may cause temporary interruptions.
- Suspension and Termination
12.1 We may suspend access for:
- Non-payment;
- Breach of these Terms;
- Security risks;
- Legal or regulatory requirements.
12.2 Either party may terminate a Subscription in accordance with plan terms.
12.3 Upon termination, access rights cease.
- Modifications to the Services
We may modify, update, improve, suspend, or discontinue any part of the Services at any time to enhance performance, security, compliance, or functionality.
- Amendments to Terms
CompliTech may update these Terms from time to time to reflect changes in the Services, legal requirements, or business practices.
Where changes are material, CompliTech will provide reasonable notice (including via email or platform notification).
Updated Terms take effect on the date specified in the notice.
Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, you may cease using the Services and terminate your Subscription in accordance with these Terms.
- Indemnity
You indemnify and hold harmless CompliTech, its directors, officers, employees, contractors, and agents against claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:
- Misuse of the Services;
- Infringing Client Data;
- Breach of these Terms;
- Violation of applicable law;
- Failure to secure account credentials.
This indemnity survives termination.
- Intellectual Property
16.1 All software, systems, branding, documentation, databases, algorithms, AI workflows, validation logic, reports, and related materials forming part of the Services remain the exclusive property of CompliTech.
16.2 No ownership rights are transferred under these Terms.
- Limitation of Liability
17.1 To the maximum extent permitted by law, CompliTech’s total aggregate liability arising out of or in connection with these Terms or the Services is limited to the total fees paid by you in the 12 months preceding the event giving rise to the claim.
17.2 CompliTech is not liable for:
- Indirect, consequential, incidental, or special damages;
- Loss of profits, revenue, business, or anticipated savings;
- Loss or corruption of data not caused by negligence;
- Reliance on AI-generated outputs.
17.3 Nothing in these Terms excludes liability that cannot be excluded under Australian law.
- Dispute Resolution
18.1 A party raising a dispute must provide written notice detailing the issue.
18.2 The parties must attempt good-faith negotiation within 28 days.
18.3 If unresolved, the dispute must be submitted to mediation in Melbourne, Victoria, Australia.
18.4 Mediation costs are shared equally.
18.5 If mediation fails after 60 days from appointment of the mediator, either party may commence court proceedings.
All negotiations and mediation discussions are confidential and without prejudice.
- Force Majeure
We are not liable for delay or failure caused by events beyond reasonable control, including:
- Infrastructure failures;
- Third-party provider outages;
- Government actions;
- Natural disasters;
- Cybersecurity incidents not caused by negligence.
- Governing Law
These Terms are governed by the laws of Victoria, Australia.
Subject to Clause 18, the parties submit to the exclusive jurisdiction of the courts of Victoria.
- Severability
If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in full force and effect.
